Terms of Service

The agreement between you and Determinant Labs for using Partners.

Agreement

  • By creating an account or installing the Determinant Labs Partners Shopify app, you agree to these Terms of Service. If you are accepting on behalf of a company, you represent that you have authority to bind that company.

The service

  • Determinant provides software to help Shopify brands run affiliate and partner programs: attribution, commission ledgers, portals, and payout tooling.
  • Features, pricing, and plan limits may change; material changes to paid plans will be communicated in advance when practicable.

Accounts & Shopify

  • You are responsible for safeguarding credentials and for activity under your account.
  • Brand customers must have a valid Shopify store and grant the permissions required for the app to function. We are not responsible for Shopify platform outages or policy changes.

Acceptable use

  • Do not misuse the service: no unlawful content, fraud, spam, scraping that degrades the service, or attempts to bypass security or billing.
  • Partners must accurately represent brands they promote and comply with applicable advertising and endorsement rules.

Commissions & payouts

  • Commission rules are configured by each brand. Attribution and refund clawbacks follow the product’s documented behavior and the brand’s program settings.
  • Payouts may be processed through third-party payment providers (e.g. Stripe). Provider fees and verification requirements may apply. Determinant is not a bank.

Intellectual property

  • The Determinant product, branding, and documentation remain our property. You retain ownership of your store content and customer data. You grant us a limited license to process that data solely to provide the service.

Disclaimer & liability

  • The service is provided “as is.” To the fullest extent permitted by law, Determinant disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Our aggregate liability arising from the service is limited to the fees you paid us in the three months before the claim (or $100 if you are on a free plan), except where liability cannot be limited by law.

Termination

  • You may stop using the service and uninstall the app at any time. We may suspend or terminate access for breach, abuse, or non-payment.
  • Provisions that by nature should survive (including IP, liability limits, and accrued payment obligations) survive termination.
